The General Assembly Meeting of the RVOA on December 7, 2019

This meeting, which was the second, was valid, as the quorum was not obtained during the first meeting which was held on Saturday, November 30th, 2019.

The General Assembly of the Riffa Views Owners’ Association (RVOA) started at 7:30 pm on Saturday, December 7th, 2019, at the Riffa Views International School in Al Mazrowiah area in the Southern Governorate. The meeting, which was the second, was valid, as the quorum was not obtained during the first meeting which was held on Saturday, November 30th, 2019.

Owners participated as follows:
  • Personal attendance – 89 units
  • Proxies – 8 units
  • Voting by voting paper – 343 units 
Total 440

The meeting was chaired temporarily by Mr. Yasser Abdulrahman Alraee, Managing Director of Riffa Views B.S.C (c) (the Developer), in the presence of a panel comprising:
  1. Dr. Abdulmajeed Al Awadhi, Chairman of the Interim Committee of Riffa Owners Association.
  2. Mr. Abdul-Haq Mohammed, Partner of Trowers & Hamlins, - Legal Council of the Developer.
  3. Mr. Abdulrahim Haji, Director of Business Development of the Developer.
The Developer’s representative delivered a welcoming speech in which he outlined the preparations made for holding the General Assembly of the RVOA, in accordance with the provisions and articles of Law No. (27) of 2017 with respect to promulgating the Real Estate Sector Regulation Law, and Resolution No. (7) of 2018 regulating owners associations and joint properties issued by the Real Estate Regulatory Authority (RERA).
He stressed upon the importance of the meeting and its resolutions that would contribute to maintaining the quality and continuity of the outstanding services provided to the owners, as well as the management and operation of the facilities and common areas. He said that reaching this important stage required 18 months of continuous work and meetings with officials of the RERA to complete all arrangements for holding the General Assembly, as well as preparing and drafting documents in accordance with the new legislation. The meetings were held in the presence of the legal advisor, "Trowers & Hamlins" law firm, and in coordination and consultation with the RVOA’s Interim Committee that was nominated at the General Assembly meeting on June 15th, 2017, he said.

He extended his thanks to all owners who participated in the meeting, whether in person, through their agents or by voting papers. He also thanked the Chairmen and members of the previous interim committees since 2012, praising, at the same time, the close cooperation and efforts made by the RERA to facilitate all procedures and response to all inquiries.

The Developer’s representative discussed the following item:

Item: Appointment of meeting Chairman

Members of the General Assembly wishing to run for the presidency of the current meeting were requested to submit their nominations, but no one did. So, he suggested that vote on the choice of Dr. Abdulmajeed Al Awadhi (in his capacity as Chairman of the RVOA's Interim Committee) to chair the meeting and complete the discussion of the rest of the items of the agenda. After the discussion of this item, the following resolution was issued:

Resolution (1): The majority approved Dr. Abdulmajeed Al Awadhi as a chairman of the meeting.

The chairman of the meeting, Dr. Abdulmajeed Al Awadhi, reviewed the remaining items of the agenda. After discussions and deliberations, the following resolutions were taken:

Item: Agenda

Resolution (2): Approval of the agenda by majority.

Item: The Articles of Riffa Views Owners Association

Resolution (3): The Articles of Riffa Views Owners Association was approved by majority votes.

Item: Riffa Views Joint Property By-Laws

Resolution (4): The Riffa Views Joint Property By-Laws was approved by majority votes.

Item: Master Transfer Agreement

Resolution (5): The majority agreed to authorise the elected Board of Directors to review the Master Transfer Agreement and sign it after its approval by the General Assembly.

Item: Riffa Views’ Master Plan

Resolution (6): The majority agreed to authorise the elected Board of Directors to review the Riffa Views’ Master Plan and adopt it after its approval by the General Assembly.

Item: The service contracts to be transferred under the Master Transfer Agreement which have more than 2 years remaining on the term

Resolution (7): The majority agreed to authorise the elected Board of Directors to revise the service contracts to be transferred under the Master Transfer Agreement which have more than 2 years remaining on the term, and mandated it to sign them after their approval by the General Assembly.

Item: RV Real Estate continuing as Association Manager 

Resolution (8): The majority agreed that “RV Real Estate S.P.C” would maintain its status as RVOA manager.

Item: The “RV Real Estate S.P.C” financial statements and the budget for the year 2020

While discussing this item, the Developer’s representative stated that the final accounts of “RV Real Estate S.P.C” for the fiscal year 2018 has been signed off by the auditors. He added that this report would be used to complete the administrative procedures for renewal of company’s commercial registration.

The Developer’s representative added that the 2020 budget was based on calculating the annual subscription payable by the owners, or BD 3.150 (three dinars and one hundred and fifty fils) per square metre of the built-up area, which means that the current fees remained unchanged. 

After discussing this item, the following resolution was issued:

Resolution (9): the “RV Real Estate S.P.C” financial statements and the budget for the year 2020 were endorsed by majority.

Item: Action against defaulting owners

Resolution (10): The majority approval the action against defaulting owners, as specified in the annexes.

Item: Remuneration proposal for the Board of Directors

Resolution (11): The majority endorsed a Remuneration proposal for the Board of Directors. The remuneration was specified in the annexes.

Item: Election process for the Board of Directors

Resolution (12): The majority approved the election process for the Board of Directors, as specified in the annexes.

Item: Election of the Board of Directors of the Riffa Views Owners Association

The members of the Board of Directors of the Riffa Views Owners Association for the next two years were elected. The result of the election was as follows:
  • Candidate / Dr. Mazin Mohammed Jumaah (253 votes)
  • Candidate / Abdulhameed Ahmed Juma (266 votes)
  • Candidate / Alsaeed Mohamed Bakeer (29 votes)
  • Candidate / Reem Ahmed Akbari (255 votes)
  • Candidate / Abdulla Ahmed Kamal (264 votes)
  • Candidate / Akram Nabil Hage (208 votes)
  • Candidate / Ahmed Abdullatif Abdulla (54 votes)
  • Candidate / Abdulhameed Ali Al Balooshi (53 votes)
According to the above-mentioned results, candidates with the (5) highest votes won the membership of the Board of Directors of the Riffa Views Owners Association, as follows: 
  1. Abdulhameed Ahmed Juma (266 votes)
  2. Abdulla Ahmed Kamal (264 votes)
  3. Reem Ahmed Akbari (255 votes)
  4. Dr. Mazin Mohammed Jumaah (253 votes)
  5. Akram Nabil Hage (208 votes)
Item: Other business arising

One of the attendees requested the Board of Directors to determine ways to communicate with the owners. 
After discussing this item, the following resolution was issued:

Resolution (13): The meeting agreed that the Board of Directors shall determine the mechanism of communication and share it with all owners.

There being no other business, the meeting ended at 10:30 pm.
